This temporary law makes it possible to arrange the general meeting of shareholders digitally.<\/em><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div><div class=\"et_d4_element et_pb_row et_pb_row_1  et_pb_css_mix_blend_mode et_block_row\">\n\t\t\t\t<div class=\"et_d4_element et_pb_column_1_2 et_pb_column et_pb_column_1  et_pb_css_mix_blend_mode et_block_column\">\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t<div class=\"et_pb_module et_d4_element et_pb_image et_pb_image_0\">\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t<span class=\"et_pb_image_wrap \"><img decoding=\"async\" src=\"https:\/\/www.everestnotariaat.com\/wp-content\/uploads\/2020\/05\/foto-blog-digitale-aandeelhoudersvergadering.jpg\" alt=\"\" title=\"foto blog digitale aandeelhoudersvergadering\" \/><\/span>\n\t\t\t<\/div><div class=\"et_pb_module et_d4_element et_pb_text et_pb_text_1  et_pb_text_align_left et_pb_bg_layout_light\">\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t<div class=\"et_pb_text_inner\"><p><span style=\"color: #ff9900;\"><strong>Extension until April 1st, 2021<\/strong><\/span><br \/> It is now clear that the law would remain in force at least until April 1st, 2021. It is expected that another extension will be decided before April 1st, 2021. The duration of the emergency law can be extended indefinitely, always for a maximum period of two months.\n<\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div><div class=\"et_d4_element et_pb_column_1_2 et_pb_column et_pb_column_2  et_pb_css_mix_blend_mode et-last-child et_block_column\">\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t<div class=\"et_pb_module et_d4_element et_pb_text et_pb_text_2  et_pb_text_align_left et_pb_bg_layout_light\">\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t<div class=\"et_pb_text_inner\"><p><span style=\"color: #ff9900;\"><strong>Content of the temporary Act COVID-19<\/strong><\/span><\/p>\n<ul>\n<li>it is possible, where physical consultation and decision-making procedures are prescribed, to communicate, on a temporary basis, exclusively by electronic means of communication, provided that this is stated in the convocation letter for the meeting;<\/li>\n<li>the board may determine that shareholders do not have physical access to the shareholders\u2019 meeting, provided that the shareholders\u2019 meeting can be followed electronically and that shareholders have the opportunity to ask questions until no later than 72 hours before the meeting;<\/li>\n<li>the questions asked must be answered during the meeting at the latest and the answers must also be shared on the website or any other accessible means;<\/li>\n<li>the board must make every effort to ensure that questions can be asked during the meeting;<\/li>\n<li>if a shareholder is unable to participate optimally in the virtual shareholders\u2019 meeting, for example because the shareholder is not able to ask his questions during the virtual shareholders\u2019 meeting, it has no consequences for the validity of the decisions; and<\/li>\n<li>the board may determine that votes can only be cast electronically, provided this is stated in the convocation letter.<\/li>\n<\/ul>\n<p>For further rules and possibilities with regard to the digital shareholders\u2019 meeting, I would like to refer to our earlier <span style=\"text-decoration: underline;\"><span style=\"color: #0000ff; text-decoration: underline;\"><a style=\"color: #0000ff; text-decoration: underline;\" href=\"https:\/\/www.everestnotariaat.com\/en\/virtual-shareholders-meeting-is-temporary-possible\/\">blog<\/a><\/span><\/span> on this subject of May 15th, 2020.<\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n","protected":false},"excerpt":{"rendered":"<p>The temporary Act COVID-19 came into force in April 2020.
