Virtual shareholders’ meeting is (temporary) possible
Since the 1st day of January 2007 the law provides the possibility of being present at the shareholders’ meeting by an electronic communication tool. However, this option must be explicitly included in the articles of association. If you are considering a virtual shareholders’ meeting, first check your articles of association!

On 18 December 2019 a bill was submitted to expand the prohibition of legal entities.
With the bill, the legislator wants to make it easier to prohibit legal entities who act in conflict with the public order.

The bill on the governance and supervision of legal persons must provide clarity about the duties and responsibilities of directors and supervisory directors.
